These terms apply to the lead generation service Perision Ltd provides to clients. They work alongside the service agreement we sign with each client. Where the signed agreement and these terms differ, the signed agreement applies.

Some words we use

A qualified conversation is a scheduled conversation with a prospect who meets the ideal customer profile and qualification criteria agreed in writing with the client. The ICP is the ideal customer profile agreed with the client. A prospect is a business contact identified for outreach.

The service

Perision manages targeting, outreach, qualification and scheduling to deliver qualified conversations for the client. We agree the ICP and the qualification criteria with the client before outreach begins.

Fees and how charges arise

Our pricing is performance based. The client is charged for each qualified conversation that meets the agreed criteria, as set out in the service agreement. We do not charge salaries or retainers unless the agreement says otherwise. Invoices are payable within [number] days. Late payment may carry interest at the statutory rate.

What the client agrees to do

The client agrees to take part in defining the ICP, to give accurate information about the services it sells, to attend booked conversations, and to tell us promptly if a conversation does not meet the agreed criteria so we can review it.

What we agree to do

We carry out the service with reasonable care and skill, and we follow data protection law in how we run outreach. Our Privacy Policy and Data Protection Statement set out the detail.

Confidentiality and intellectual property

Each party keeps the other’s confidential information private and uses it only to perform the service. Each party keeps the rights it already owns, and materials we create to deliver the service stay with us unless the agreement says otherwise.

Liability

Nothing in these terms limits liability that cannot be limited by law. Subject to that, our total liability is limited as set out in the service agreement, and we are not liable for loss of profit, business or expected savings that could not reasonably have been foreseen.

Ending the service, and governing law

Either party may end the service as set out in the service agreement. Charges for qualified conversations already delivered stay payable. These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction.
